Maddie Kleifield
BIOGRAPHY
Ms. Kleifield is an associate in the Corporate and Securities section. She focuses her practice on private equity business, including the drafting and negotiation of confidentiality agreements. Prior to joining the firm, Ms. Kleifield was an associate at McCathern, PLLC in Dallas, Texas.
Ms. Kleifield graduated from Arizona State University with a B.I.S., magna cum laude, in Business and Design Studies and earned her J.D., cum laude, from SMU Dedman School of Law. She is an active member of the Dallas Association of Young Lawyers, the Tarrant County Bar Association, and the Tarrant County Young Lawyers Association.
EXPERIENCE AND HIGHLIGHTS
- Counseled clients on entity formation and related corporate governance matters
- Handled employment matters including crafting severance agreements and participating in mediation involving whistleblower claims
- Reviewed, redlined, and negotiated high-dollar real estate purchase agreements and due diligence materials, including title commitments, surveys, estoppel certificates, and leases
- Drafted a variety of legal documents, including service agreements, settlement agreements, trademark applications, and motions
- Analyzed high-dollar sponsorship agreements and other various form agreements to ensure compliance with current law and best practices
- Compiled and analyzed evidence pertaining to pending litigation involving use of intellectual property
- Researched issues related to the formation and funding of LLCs and start-up companies
