Kelly Hart’s Corporate & Securities team provides legal guidance to clients regarding private equity and strategic investments, as well as the subsequent exits from these investments through mergers and acquisitions and capital markets transactions. Our extensive experience allows us to assist clients in structuring transactions in a way that effectively addresses the unique tax and other concerns of investors and principals. Our attorneys have a strong track record in organizing and structuring private equity funds, and representing investors in such funds. Our work in fund formation includes representation of (i) sponsors who are raising private equity funds, including both domestic and international vehicles, funds-of-funds, buyout and venture capital funds, and funds primarily focused on real estate investments, as well as (ii) institutional investors with respect to their potential investments in pooled investment vehicles.
