John B. Phair
BIOGRAPHY
John Phair advises private equity sponsors, management teams and family offices on a range of strategic transactions and investment matters. He also advises clients in matters involving complex mergers and acquisitions, dispositions, internal restructuring, entity formation, equity incentive arrangements, capital raising and deployment, and general corporate governance. Mr. Phair has worked on behalf of clients in a broad range of industries, including energy, manufacturing, pharmaceutical, technology, retail goods, and entertainment.
Mr. Phair received his J.D., magna cum laude, from Texas Tech University School of Law.
EXPERIENCE AND HIGHLIGHTS
MERGERS AND ACQUISITIONS
- Represented owners of an international industrial manufacturer in connection with the sale of their equity interests to a private equity-backed buyer for an amount in excess of $200 million
- Represented a Texas based automotive parts supplier in connection with the sale of its assets to a private equity-backed strategic buyer for an amount in excess of $25 million
- Represented a Texas based recreational vehicle dealership in connection with numerous asset acquisitions
- Represented a publicly traded company in connection with numerous acquisitions of mineral and royalty interests in exchange for common units
- Represented a private equity backed seller in the sale of saltwater disposal well business to a private equity buyer for an amount in excess of $300 million
- Represented Approach Resources in its Chapter 11 restructuring, including the sale of substantially all of its assets to Zarvona Energy
- Represented Funimation in sale of its membership interests to Sony Pictures for $150 million
- Represented a Dallas based pharmacy in the sale of its assets to strategic buyer
- Represented a Texas based party supply company in the sale of its assets and membership interests to strategic buyer
- Represented a Fort Worth based architect firm in connection with selling substantially all of its assets to a private equity-backed strategic buyer
INVESTMENT TRANSACTIONS
- Represented a Midland based upstream oil and gas company in connection with securing a $45 million equity commitment from a Dallas based family office
- Represented a Texas based frac sand company in connection with a $28 million investment in the company made by a group of Texas based investors
- Represented a Fort Worth based oil and gas exploration and production company in connection with securing a $160 million equity commitment from a Dallas based private equity fund
- Represented a Fort Worth based group of investors in connection with a $5.4 million equity commitment to an Oklahoma based hard seltzer manufacturer
- Represented a Fort Worth based group of investors in connection with a $15 million equity investment in a Texas based tequila distiller
- Represented a Fort Worth based group of investors in connection with a $6 million equity commitment to a Texas based beef producer
- Represented a Dallas based private equity fund in connection with $5 million equity commitment to a renewable natural gas company
- Represented a Dallas based private equity fund in the formation and $150 million capitalization of a new midstream portfolio company
- Represented a Dallas based private equity fund in the formation and $125 million capitalization of a newly formed oil and natural gas exploration portfolio company
- Represented a Texas based frac sand company in connection with a $78 million equity investment in the company made by a group of domestic and international investors
- Represented a Texas based oil and gas exploration and production company in connection with the formation of multiple joint ventures
- Represented a Fort Worth based commercial property developer in connection with the formation of multiple joint ventures and related private offerings
